This End-User License Agreement (this “EULA”) is a legal agreement between you (“Licensee”) and Waypoint Interactive (“Licensor”), the author of Navigating LifeĀ®, including all HTML files, XML files, Java files, graphics files, animation files, data files, technology, development tools, scripts, and programs, both in object code and source code (the “Software”). The deliverables provided pursuant to this EULA may include associated media, printed materials, and “online” or electronic documentation.
By installing, copying, or otherwise using the Software, Licensee agrees to be bound by the terms and conditions set forth in this EULA. If Licensee does not agree to the terms and conditions set forth in this EULA, then Licensee may not download, install, or use the Software.
All content is moderated at the group and organizational level. Inappropriate content, bullying, or offensive content will result in immediate revocation of usage rights, with no recourse.
Licensor warrants that it has the legal right to enter into and perform obligations under this EULA. Licensee’s use of the Software, under this EULA, will not infringe upon the intellectual property rights of third parties.
All intellectual property rights to the Software, including images, photographs, animations, video, audio, text, data, and code, belong to the Licensor. The Software is protected by copyright laws and international treaties.
Licensor will provide on-site and phone support during normal business hours under an active support agreement.
This EULA is perpetual unless:
Upon termination, Licensee must cease all use of the Software and destroy all copies.
This EULA shall be governed by the laws of the Commonwealth of Massachusetts. Any legal action must be brought exclusively in the courts located in Boston, MA, with the prevailing party entitled to recover costs and attorneys’ fees.
This EULA is non-transferable by Licensee. Any attempt to transfer or assign the EULA is void.
If any provision of this EULA is deemed unenforceable, the remaining provisions will remain in full force and effect.
Licensor disclaims all warranties for the Software. The Software is provided “as is” without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Licensor is not liable for any loss of profits, savings, or other damages (whether incidental, punitive, direct, or indirect). The total liability of the Licensor will not exceed the amount paid by Licensee for the Software.
This EULA constitutes the entire agreement between Licensor and Licensee, superseding all prior understandings, representations, or agreements.
